from the latest 10-K, 10-Q and 8-K eventsCardinal Infrastructure Group Inc. (CDNL) is a heavy civil construction contractor that went public on December 11, 2025 and is expanding rapidly through acquisitions and end-market diversification.
What they do
Cardinal performs heavy construction work other than building construction, through its operating entity Cardinal Civil Contracting Holdings LLC (OpCo). The company operates as a holding company structure in which Cardinal Group is the sole managing member of Cardinal and consolidates it, with Continuing Equity Holders retaining a noncontrolling economic interest. Work spans residential, commercial, industrial, mission critical and retail projects across a Southeast-weighted footprint, supported by subcontracted labor and equipment rental.
Revenue drivers
- Residential construction — Historically the Company's core project base; organic growth in Q2 2026 reflected higher residential demand across the footprint, though the mix is being deliberately reduced.
- Commercial, industrial, mission critical and retail — Newer end markets the Company is diversifying into; these carry different labor and equipment deployment schedules and a lower initial margin profile than residential work.
- Acquisitions — Nine acquisitions since 2021, including ALGC, Piedmont Pipe in Charlotte in May 2026, and Allied Paving announced in August 2026; acquisitions contributed $52.7 million of Q2 2026 revenue growth versus $68.1 million organic.
- Backlog — Backlog was $866 million as of June 30, 2026, up 35% year-over-year, indicating contracted work not yet converted to revenue.
Recent performance
Second quarter 2026 revenue was $226.9 million, up 114% from $106.1 million in Q2 2025, split between roughly $68.1 million organic and $52.7 million acquisition growth. Gross profit was $24.5 million at a 10.8% margin, down from 13.9% a year earlier, while adjusted gross margin fell to 15.9% from 21.3%. Net income rose 18% to $11.1 million, but operating margin declined to 6.8% from 11.1%, and net income attributable to Cardinal was $4.7 million versus $7.2 million a year earlier after $6.5 million attributed to noncontrolling interests. Adjusted EBITDA was $28.1 million for the quarter, up 43% year-over-year.
Strategy
Management is pursuing a dual strategy of organic share gains and an active acquisition program, with Allied Paving adding $108 million of acquired annual revenue at a stated 20.3% adjusted EBITDA margin for a purchase price of 5.5x adjusted EBITDA. The Company is intentionally shifting its project mix away from a residential-weighted base toward commercial, industrial, mission critical and retail work, and is investing in corporate infrastructure and public-company compliance. Backlog and revenue guidance are being raised while margin expectations are being reshaped by these investments. Management states its conviction in medium-term profitability is unchanged.
Risks
- Margin compression — Gross margin fell to 10.8% in Q2 2026 from 13.9%, driven by higher subcontracted labor and equipment rental costs and a lower initial margin profile in new end markets.
- Acquisition integration — The Company has completed nine acquisitions since 2021, and its stated growth depends on successfully identifying, managing and integrating them.
- Weather and seasonality — Intense weather-related disruptions in parts of the Southeast weighed on Q2 2026 results, and the Company only expects to recover a portion of these costs in the second half of 2026.
- Contract cost estimation — Revenue is recognized under the cost-to-cost method using estimates of total contract costs, variable consideration, labor productivity and material costs; actual circumstances differing from assumptions could adversely affect results.
Outlook
Management raised full-year 2026 revenue guidance to $880-$900 million, a midpoint increase of $210 million reflecting over 95% growth from 2025. The Company expects margin performance to improve over time as newer end markets mature and scale benefits are realized, and expects to recover a portion of weather-related costs in the second half of 2026. Management said its 2026 margin outlook was reshaped by accelerated investment in corporate infrastructure, while stating that its conviction in the platform's medium-term profitability is unchanged.
