It gathers demand, savings and time deposits and invests them in commercial, consumer, mortgage and real estate loans plus mortgage-backed, municipal and U.S. government agency securities. Revenue drivers
- Net interest income — The dominant earnings source: $62.6 million in 2025 versus $51.2 million in 2024, driven by interest and dividend income of $99.0 million against $36.4 million of interest expense. Lending is funded by $1.61 billion of deposits at year-end 2025.
- Noninterest income — A much smaller and more volatile line: $6.9 million in 2025 versus $21.6 million in 2024, with the swing reflecting the $12.4 million securities loss recorded in the 2025 balance sheet repositioning and prior-year items.
- Wealth management and trust — The Bank of Clarke Wealth Management Division earns fiduciary and brokerage-related revenue; client securities and property held in fiduciary or agency capacity are not assets of the Bank and are excluded from the consolidated financial statements.
- Insurance and housing tax-credit investments — The Bank holds a membership in Bankers Title Shenandoah, LLC (title insurance) and invests in qualified affordable housing projects in Virginia for tax credits and other tax benefits. It sold its membership interest in Bearing Insurance Group, LLC in May 2026.

Strategy
Management describes 2025 and 2026 actions as strengthening the balance sheet and improving the forward earnings profile. In 2025 the Company sold available-for-sale securities with $99.2 million amortized cost for a $12.4 million pre-tax loss and reinvested $66.0 million into new securities, completed an underwritten public offering of 1,796,875 shares at $32.00 per share for $53.5 million of net proceeds, and uplisted its stock to NASDAQ. It also opened a full-service branch in McLean, Virginia offering retail and business banking, lending and wealth management. In May 2026 it sold its Bearing Insurance Group membership interest for a $3.5 million pre-tax gain.
Risks
- Earnings volatility from balance sheet actions — The 2025 securities repositioning produced a $12.4 million pre-tax loss, cutting full-year 2025 net income to $8.2 million from $15.3 million in 2024, showing how investment portfolio decisions swing results.
- Credit loss provisioning — The provision for credit losses rose to $3.7 million in 2025 from $2.6 million in 2024, and management attributed lower second quarter 2026 earnings to a higher provision.
- Concentrated geographic market — Bank of Clarke's lending and deposit base is concentrated in the Shenandoah Valley, Northern Virginia and Frederick, Maryland, so regional economic conditions affect results disproportionately.
- Compressed profitability and thin capital — Return on average assets fell to 0.42% in 2025 from 0.85% in 2024 and return on average equity to 4.81% from 13.77%, while shareholders' equity to assets was 10.00% at year-end 2025 and 10.5% ($193.9 million of equity on $1.85 billion of assets) at June 30, 2026.
Outlook
CEO Brandon Lorey said second quarter results reflect continued progress in core operating performance, citing meaningful loan growth, improved net interest income and a 3.86% net interest margin as evidence of the strategic balance sheet actions and disciplined execution. He noted that while the quarter's earnings were affected by a higher provision for credit losses, underlying performance remained solid. Management stated that its capital, liquidity and balance sheet position it well to support customers, communities and shareholders. The Board declared a quarterly cash dividend of $0.31 per common share, payable August 14, 2026 to holders of record August 3, 2026.
