from the latest 10-K, 10-Q and 8-K eventsSemiLEDs is a small LED chip and component maker whose fiscal 2025 revenue surge to $43.0 million came largely from buy-sell equipment orders rather than core LED sales.
What they do
SemiLEDs develops, manufactures and sells LED chips, LED components, LED modules and systems, produced by its wholly owned Taiwan subsidiary, Taiwan Bandaoti Zhaoming Co., Ltd. Its process grows GaN epitaxial layers on sapphire wafers, adds a silver mirror and copper alloy layer, then removes and recycles the sapphire substrate to form vertical LED chips. It packages chips into components sold to distributors and customers concentrated in India, Japan, the Netherlands and the United States, and sells its Enhanced Vertical series in blue, white, green and UV. End applications include general lighting, UV curing, medical/cosmetic light therapy, counterfeit detection, horticulture, architectural and entertainment lighting.
Revenue drivers
- LED chips and components — Core product line: chips sold to packagers or distributors, and components sold to distributors, LED lighting ODMs and end users in a few concentrated markets.
- LED modules and systems — Lighting products for general and specialty applications such as UV curing, horticulture, architectural and entertainment lighting.
- Buy-sell equipment orders — In fiscal 2025 the company purchased equipment and resold it to a customer; management credits these orders with improving gross profit, operating results and cash flows, and says it anticipates they will continue.
- UV and specialty industrial applications — Products for UV curing of polymers, medical/cosmetic light therapy, counterfeit detection and germicidal/viricidal devices, described as a focus alongside architectural and entertainment lighting.
Recent performance
Third quarter fiscal 2026 revenue was $9.1 million, up from $1.1 million in the second quarter, which management attributes to increased buy-sell equipment purchase orders. GAAP net income attributable to SemiLEDs stockholders was $1.5 million, or $0.18 per diluted share, versus a $603 thousand net loss, or $(0.07) per diluted share, in the prior quarter. GAAP gross margin was 27% versus 1%, and operating margin was 16% versus negative 79%. Cash and cash equivalents were $6.0 million at May 31, 2026, up from $4.0 million at February 28, 2026. For fiscal 2025, revenue was $43.0 million and net loss was $1.1 million, compared with $5.2 million of revenue and a $2.0 million net loss in fiscal 2024.
Strategy
Management emphasizes continuing or growing buy-sell equipment revenue, which it says improved fiscal 2025 gross profit, operating results and cash flows. It also cites the need to improve liquidity and to raise additional debt or equity funding for operations, warning that debt would add service obligations and covenants and equity would dilute stockholders. Other stated priorities include sourcing chips from other suppliers, developing sales in niche LED markets such as UV and architectural lighting, executing a restructuring plan and cost reduction programs, and developing a strategy for the China and India markets.
Risks
- Dependence on buy-sell revenue — If buy-sell equipment orders diminish or cease, the company says gross margin, operating results and cash flows could be adversely affected.
- Liquidity and financing — The company states it needs to improve liquidity and may be unable to obtain debt or equity on favorable terms, or at all, with debt adding covenants or liens and equity causing dilution.
- Nasdaq listing failure — The company has received delisting notices, and its risk factors note that financing difficulty may increase if its common stock is delisted from the Nasdaq Capital Market.
- Concentrated markets and pricing pressure — Revenue is concentrated in India, Japan, the Netherlands and the United States, and management describes intense competition with competitors cutting average selling prices, which has forced SemiLEDs to reduce prices.
Outlook
Management says it anticipates more buy-sell purchase orders in the fourth quarter of fiscal 2026. It also lists among key factors the industry adoption of LEDs in general lighting and specialty applications such as UV curing, medical/cosmetic, counterfeit detection, horticulture, architectural and entertainment lighting. The company cautions that its ability to improve gross margins, generate net income and restore profitability is uncertain.
