from the latest 10-K, 10-Q and 8-K eventsOPENLANE, Inc. (NYSE: OPLN) is a digital wholesale marketplace for used vehicles operating in the United States, Canada and Europe, facilitating roughly 1.5 million vehicle transactions and $28.8 billion in GMV in 2025.
What they do
OPENLANE connects automotive manufacturers, dealers, rental companies, fleet operators, captive finance and lending institutions as buyers and sellers on digital marketplaces. It earns buy and sell fees from both sides of the transaction, plus revenue from ancillary services including SaaS-based remarketing, logistics, reconditioning, inspection and certification, titling, collateral recovery and floorplan financing. Through its AFC subsidiary, with about 90 branch locations across North America, it provides short-term inventory-secured floorplan financing primarily to independent used vehicle dealers. It generally facilitates ownership transfer directly from seller to buyer without taking title, though in some cases it sells vehicles it has purchased and records the gross selling price as revenue.
Revenue drivers
- Marketplace auction and related fees — Buy and sell fees charged to vehicle sellers and buyers on both sides of transactions on the U.S., Canadian and European marketplaces; auction and related fees grew 21% year over year in Q2 2026 and drove the quarter's 15% total revenue growth.
- AFC floorplan financing — Short-term inventory-secured financing provided primarily to independent used vehicle dealers through AFC's approximately 90 North American branch locations; AFC contributed $46 million of Adjusted EBITDA in Q2 2026 and also cross-registers and cross-activates dealers onto the OPENLANE marketplace.
- Commercial seller SaaS and private label remarketing — Proprietary SaaS-based platform supporting more than 40 private label digital remarketing applications representing the majority of North American manufacturers and captive finance companies; commercial vehicles sold grew 39% year over year in Q2 2026.
- Value-added ancillary services — Transportation logistics, reconditioning, vehicle inspection and certification, titling, administrative and collateral recovery services sold alongside marketplace transactions, including through vehicle logistics centers in Canada.
Recent performance
For Q2 2026 (period ended June 30, 2026), OPENLANE reported revenue of $555 million, up 15% year over year, driven by 21% growth in auction and related fees, and net income of $44 million, up 33%. Marketplace GMV rose 41% to approximately $10.5 billion, with commercial vehicles sold up 39% and dealer vehicles sold up 13%, including 31% growth in U.S. dealer vehicles. Adjusted EBITDA was $103 million, up 19%, and cash flow from operating activities was $53 million. Full-year 2025 revenue was $1.93 billion with net income of $177.7 million; quarterly revenue has risen from $498.4 million in Q3 2025 to $554.6 million in Q2 2026. Annual operating cash flow has grown from $237.0 million in 2023 to $391.9 million in 2025.
Strategy
Management is executing a digital transformation centered on a unified OPENLANE brand and consolidated technology platforms, following the 2023 rebrand, the 2019 spin-off of IAA and the 2022 sale of ADESA's U.S. physical assets; the NYSE ticker changed from KAR to OPLN in December 2025. The company is positioning itself for an expected off-lease vehicle supply inflection, stating that as leases mature in 2026 and beyond, much of that volume is expected to flow through OPENLANE first because it supports the majority of commercial sellers with off-lease inventory in North America. It is investing in technology, including platform consolidation and an ERP system conversion, and in go-to-market investments made in 2025 that management says are ramping toward full capacity, with additional 2026 investments based on that success. AFC is being used to fuel marketplace liquidity and generate cash flow.
Risks
- Dependence on used vehicle supply — Financial performance depends on wholesale used vehicle supply and automotive industry conditions, and the 2020-2023 period of disrupted new vehicle production and low supply materially affected the industry.
- Macroeconomic and tariff uncertainty — Inflation, interest rates, tariffs and trade disputes, oil and natural gas price volatility, and consumer confidence affect affordability and demand for new and used vehicles, and the company cannot predict how long these trends will last.
- Strategy execution and investment costs — The company states that costs of certain investments to implement its business strategy will adversely impact short-term financial performance, and failure to realize expected benefits may hurt longer-term performance.
- Technology and digital transformation reliance — The business depends on information technology, and the company has made and continues to make investments including technology platform consolidation and an ERP system conversion.
Outlook
On August 4, 2026, the company raised full-year 2026 guidance for net income to $163-$176 million from $147-$164 million, and Adjusted EBITDA to $385-$400 million from $365-$385 million. Diluted net income per share guidance rose to $1.23-$1.33 from $1.09-$1.23, and Operating Adjusted EPS to $1.40-$1.50 from $1.28-$1.42. CEO Peter Kelly cited the early stages of the off-lease inflection and said he is confident in continuing to accelerate positive momentum. The revised guidance reflects the actual conversion of remaining preferred shares in May 2026 rather than the previously assumed June 2026 conversion.
