from the latest 10-K, 10-Q and 8-K eventsSpectrum Brands is a branded consumer products and home essentials company with three reporting segments, Global Pet Care, Home & Garden, and Home Personal Care, and roughly $2.8 billion in annual net sales.
What they do
Spectrum Brands sells branded consumer products through three segments: Global Pet Care (pet supplies, aquatics equipment and nutrition), Home & Garden (predominantly U.S.-manufactured lawn, garden and household products such as baits, traps and mops), and Home Personal Care (personal care products sold largely through international markets). It operates consumer brands sold through retail channels, with manufacturing and sourcing spanning the U.S., Germany and southeast Asia. The company is majority-U.S. in H&G, while over 60% of HPC net sales come from international markets.
Revenue drivers
- Global Pet Care (GPC) — Pet supplies, aquatics equipment and chews & treats; some products were sourced from China but sourcing has been diversified, and aquatics nutrition is manufactured in Germany and imported to the U.S. Management said GPC delivered top-line growth in the latest quarter.
- Home & Garden (H&G) — Predominantly manufactured and sold within the U.S., covering lawn and garden and household products such as baits, traps and mops. Management described the latest quarter as a record-setting quarter for the Home Garden business.
- Home Personal Care (HPC) — Personal care products where most U.S. products are imported from southeast Asia, while over 60% of segment net sales come from international markets. Management said North America demand remains soft but is showing signs of stabilization, with Latin America brands performing well.
Recent performance
For the third quarter of fiscal 2026 ended June 28, 2026, net sales rose 7.7% to $753.3 million from $699.6 million, including $7.5 million of favorable foreign exchange, with organic net sales up 6.6%. Gross profit was $370.4 million and gross margin was 49.2%, up 1,140 basis points. The company reported a net loss from continuing operations of $20.3 million, or $1.11 per diluted share, versus income of $20.5 million a year earlier, reflecting a one-time non-cash impairment charge on the HPC business related to the recent Oaktree investment. Adjusted EBITDA was $158.3 million, up $81.7 million, and excluding $60.6 million of IEEPA tariff refunds, Adjusted EBITDA was $97.7 million, up 27.5%.
Strategy
Management said the quarter's earnings strength came from operational execution and business fundamentals independent of IEEPA tariff refunds, which it called recovery of prior losses to be reinvested in the businesses. The company is pursuing supply chain diversification, operational efficiency, waste reduction, technology-enabled productivity and strategic investments. On ERP, it completed its first SAP S/4HANA deployment within HPC and implemented the platform across remaining Global Pet Care and Home Garden entities, with HPC EMEA remaining later in the year to unify the company on one platform.
Risks
- Tariff and trade policy uncertainty — Spectrum Brands paid approximately $66.4 million of IEEPA tariffs on imported products and materials since the prior year, with HPC most exposed because most of its U.S. products are imported from southeast Asia, and it remains subject to other tariffs and duties after the IEEPA tariffs were struck down.
- Customer price concessions — The company said it is evaluating implications of the tariff refunds including potential risk of price concessions to customers, which may give rise to future obligations and affect future operating results.
- HPC impairment and segment softness — A one-time non-cash impairment charge on the HPC business tied to the recent Oaktree investment drove the third-quarter net loss, and HPC results remain impacted by soft consumer demand.
- Geopolitical and macroeconomic headwinds — Ongoing conflicts including the Russia-Ukraine war, the Israel-Hamas war and the U.S.-Iran war have contributed to meaningful macroeconomic headwinds that have affected and may continue to affect the business, operations and financial results.
Outlook
For fiscal 2026, management continues to expect net sales to be flat to up low single digits and raised its Adjusted EBITDA expectation, excluding tariff refunds, to up mid single digits. It continues to expect approximately 50% conversion of Adjusted EBITDA to adjusted free cash flow, excluding favorable tariff refunds. The company ended the third quarter with net debt leverage of 1.02x Adjusted EBITDA and said it continues to manage cash flow and monitor the trade environment for impacts on forecasts.
