Gentherm Closes Combination With Modine Spin-Off; Shares Fall 11.8%

Gentherm completed its combination with Modine Manufacturing's spun-off Performance Technologies business, issuing 23.7 million new shares, and its stock closed down 11.78% on more than five times its average volume.

What happened

Gentherm Incorporated, a Novi, Michigan-based maker of automotive seating comfort and thermal management systems, said in a Form 8-K filed October 1, 2026 that it closed the previously announced combination with the Performance Technologies business of Modine Manufacturing Company. The transaction was announced in a merger agreement dated January 29, 2026.

Under the terms, Modine first separated its Performance Technologies business into a new company, Platinum SpinCo Inc., then distributed one share of SpinCo common stock for each Modine share held by shareholders of record as of September 28, 2026. Gentherm's merger subsidiary then merged into SpinCo, which survived as a wholly owned Gentherm subsidiary renamed Modine Global, Incorporated. Each SpinCo share converted into the right to receive 0.44619 Gentherm shares, plus cash for any fractional share.

Gentherm issued 23,735,961 shares to Modine's record-date shareholders. Those holders now own about 43.62% of Gentherm's outstanding stock, and pre-deal Gentherm shareholders own about 56.38%, the filing states. Gentherm also declared a special cash dividend of $2.07 per share, or $63,500,492 in total, payable October 7 to Gentherm shareholders of record September 28; the new shares issued to Modine holders in the merger do not receive it.

The company's stock closed at $29.67 on the day of the filing, down 11.78% from the prior close of $33.63, on volume of 2,262,626 shares against an average of 445,437 — about 5.1 times normal.

The other agreements and the new debt

Alongside the closing, the parties signed five ancillary agreements. A Tax Matters Agreement allocates tax liabilities and restricts actions that could break the intended tax-free treatment of the separation. An Employee Matters Agreement splits employee and benefit-plan obligations. An Intellectual Property Matters Agreement allocates IP rights and includes a royalty-free license between the two sides. A Transition Services Agreement covers services such as HR, legal, supply chain, finance and IT for roughly one to twelve months. A Trademark Matters Agreement gives Modine a royalty-free license to keep using the "Modine" name — exclusive in its HVAC&R business for four years, then non-exclusive, and non-exclusive in heat transfer for two years.

The filing also discloses new debt. SpinCo had entered a credit agreement on June 29, 2026 providing a $250.0 million senior secured delayed draw term loan facility. On the closing date SpinCo borrowed the full $250.0 million and used the proceeds to make a $156 million cash distribution to Modine and for other purposes. After the merger, Gentherm guaranteed SpinCo's obligations and granted a security interest in substantially all of its assets to secure them; certain Gentherm domestic subsidiaries also guaranteed the debt and pledged assets. The term loans pay interest at either term SOFR plus 1.125% to 2.000%, or a base rate plus 0.125% to 1.000%, depending on Gentherm's net leverage ratio.

Gentherm's board also grew from 9 to 10 members and appointed Paul Mascarenas, effective October 1. He was selected by Modine under the merger agreement, which waived a second designee. Mascarenas has been a venture partner at Fontinalis Partners since 2014 and previously worked at Ford Motor Company. He will stand for election at Gentherm's 2027 annual meeting and was appointed to the Technology Committee.

What this means

The Form 8-K is the current report public companies file with the Securities and Exchange Commission to disclose material events — here, so many at once that it was tagged with seven item numbers: a material agreement (1.01), a completed acquisition (2.01), a new direct financial obligation (2.03), an officer or director change (5.02), a charter or bylaw amendment (5.03), Regulation FD disclosure (7.01) and exhibits (9.01).

The deal is structured as a spin-off followed by a merger, often called a Reverse Morris Trust. Modine puts a business into a new company, hands shares of that company to its own shareholders as a dividend, and that new company is then merged into Gentherm. Gentherm is the acquirer in substance, but it pays with stock rather than cash, which is why Modine holders end up owning 43.62% of it. The exchange ratio of 0.44619 is simply the conversion rate: each SpinCo share becomes roughly 0.45 of a Gentherm share.

The $250 million term loan is corporate debt borrowed against a committed facility, meaning lenders set the money aside in advance and the borrower draws it when needed — a "delayed draw" structure lets the borrower time the draw to the closing. Term SOFR is a benchmark interest rate tied to the secured overnight financing rate, and the margin added to it rises or falls with how much debt Gentherm carries relative to its earnings; the better the ratio, the lower the rate.

A special dividend returns cash to existing holders outside the regular dividend schedule. Paying it to shareholders of record September 28, before the new shares were issued October 1, concentrates the payment on the old shareholder base — the size of the dividend is fixed at $63.5 million, so the pre-deal holders receive it rather than it being spread across the enlarged share count.

The filing explains what was done and on what terms but does not say why Gentherm's shares fell on the day. Trading volume was about five times average, so the move was on unusually heavy activity, but the filing offers no company statement about the price. What is definite is mechanical: Gentherm issued 23.7 million new shares, increasing its share count by roughly 78% from the pre-deal base implied by the 56.38%/43.62% split.
